Provision

About the Working Groups of the Ukrainian Association for Management Development and Business Education

I. General Provision

1.1 This provision has been developed based on current legislation of Ukraine and Statutory Agreement of the Ukrainian Association for Management Development and Business Education (hereinafter referred to as "the Association"). It outlines the list, order of approval, status, content, authority of the working entities of the Association, organizational procedures and scope of activities.
1.2 This provision is approved by the Association Board according to the resolution of the Association’s Assembly "About Delegating the Authority of the Assembly" and it is to be approved by the following meeting of the Association’s Assembly.

2.1 Working entities of the Association include: committees, coordination councils and commissions. Working groups of the Association are created to execute tasks and ensure development, as prescribed by the Statutory Agreement and Decision of the Association Assembly.
2.2 Committees are permanent working groups, which are created based on the decision of the Assembly or Board in order to coordinate and develop a specific strategic direction of the Association on a national level.
2.3 Coordination councils are permanent working groups, which are created by the decision of the Association’s Assembly or in order to coordinate and develop a specific task of the Association or its territorial units.
2.4 Commissions are permanent or temporary working groups created based on the resolution of the Board, Director or coordination councils of the Association in order to solve specific issues related to the activity of the Association or its territorial units.
2.5 Working groups are operating within the Ukrainian legislation, Statutory Agreement, present Provision and other documents of the Association.
2.6 Reorganization, temporary interruption of the activity of the working group or liquidation of the working groups are executed based on resolutions of the entities, which initiated the creation of relevant working groups, or the Association’s Board.
2.7 Temporary commissions are working within the scope of established term of their authority.
2.8 In case the activity of the working group of the Association is interrupted, it can be recovered based on the procedures established for the creation of a working group.

III. Content, Organizational Procedures

3.1 One representative of each organization – member of the Association, interested in particular scope of activity can become a member of a working group. Quantity of participants in working groups is not limited.
3.2 Working groups are formed when representatives of organizations-members are appointed.
Members of working groups are appointed by the Director of the Association based on letters from organizations – participants of the Association or authorized representatives.
3.3 A member of the working group can be called out based on the letter from organization-member of the Association, or authorized representative of an organization in the Association. It is also possible in case organization is released from membership in the Association. In case individual does not take part in the activity of the working group during the one year. Appropriate decision is to be confirmed by the Order of the Association Director.

IV. The Authority of the Working Groups

4.1 Working groups of the Association are able to make decisions, provide recommendations and approvals.
4.2 Decision of working groups are taken within the scope of their authority, delegated to the correspondent group according to the Statutory agreement of the Association. These decision gain the status of confirmed by the entities, which delegated the authority to correspondent working group.
4.3 Recommendations of the working groups can be devoted to any issue related to the activity of the Association. They can be approved by the Assembly, Board or Director of the association within the scope of their authority.
4.4 The resolutions which have not been approved by the management entities of the Association do not gain a legal status.
4.5 Approval of the working groups is required in case of issues related to the activity of the working group according to the present Provision and do not require additional approval by the management entities of the Association

V. Organization of the Activity of the Working Group.

5.1 Basic organizational forms for the operations of the working groups are meetings and mailing.
5.2 Decisions, recommendations and approvals of working groups are made according to the majority of votes among individuals present at a meeting or the majority among the officially registered quantity of a working group through surveying members of the group by means of e-mail.
5.3 Working groups of the Association independently determine its structure and distribute responsibilities among the members.
5.4 Meeting of the working groups are called by the head of a group, based on a plan of activities, authority delegated by the management bodies or in case emergency issues.
5.5 Execution of the responsibilities by the members of a working group is completed on a voluntary basis.
5.6 Costs related to participation in a working group activities are covered by the organization-members of the Association which delegated their representative. External sources of funding can be engaged to cover these costs.
